Glenn Pollner is a partner in the New York office of Gibson, Dunn & Crutcher, where he is a member of the Corporate Transactions Practice Group. Mr. Pollner's practice concentrates on corporate finance transactions, and on corporate and securities law matters.
Mr. Pollner regularly represents issuers, underwriters, initial purchasers, placement agents, selling security holders and others in capital markets transactions, including in initial public offerings, follow-on equity offerings, investment grade, high yield and convertible debt offerings, offerings of preferred and hybrid securities, shelf registrations, and PIPEs and other private placements. Mr. Pollner also has significant experience with subsidiary carveout transactions and similar corporate reorganizations, and with tender offers, exchange offers, consent solicitations and other liabilities management and balance sheet restructuring transactions. In addition, Mr. Pollner regularly advises clients on corporate and securities law issues, including disclosure and reporting obligations under U.S. federal securities laws, corporate governance issues, issues arising under the Sarbanes-Oxley Act, state corporate law issues, listed company obligations under stock exchange rules and issues in connection with mergers and acquisitions and other strategic transactions.
Mr. Pollner's experience spans a wide range of industries, including extensive experience in the health care and life sciences industry. Other industry experience includes technology, telecommunications, media and entertainment, metals and mining, energy and financial services. His experience extends to both domestic and cross border transactions, both in the public and private markets.
Mr. Pollner received his Juris Doctor, cum laude, from the Boston University School of Law in 1991, where he was a G. Joseph Tauro Scholar and an editor of the Annual Review of Banking Law. He received his Bachelor of Science, cum laude, in Accounting from the State University of New York at Albany in 1988. He is admitted to practice in the State of New York. Mr. Pollner is a member of the Financial Reporting Committee of the New York City Bar, and is a past member of the New York City Bar's Securities Regulation Committee. He is also a member of the American Bar Association's Federal Regulation of Securities Committee.
