Karen E. Bertero is co-partner in charge of the Los Angeles office of Gibson, Dunn & Crutcher. She is a member of the firm's Corporate Transactions Practice Group. Her practice focuses on mergers and acquisitions, capital markets matters, board of director advice and general corporate counseling. Ms. Bertero has advised clients in a variety of industries in mergers and acquisitions of both public and private companies, public offerings, Rule 144A debt offerings, private placements of equity and debt securities and venture capital investments. Representative transactions include the representation of IAC/InterActiveCorp in a number of acquisitions of public and private companies, of Peregrine Systems, Inc. in its sale to The Hewlett-Packard Company, of The FINOVA Group, Inc. in its debt and equity restructuring through bankruptcy, of special committees of boards of directors in connection with acquisitions, of issuers and underwriters in public debt and equity offerings, and of issuers and initial purchasers in various Rule 144A offerings and subsequent exchange offers.
Ms. Bertero graduated in 1981 from the UCLA School of Law, where she was a member of the Order of the Coif. She did her undergraduate work at the University of California at Berkeley, graduating in 1978 as a member of the Phi Beta Kappa honor society.
Ms. Bertero is a member of the Business Law and Antitrust Sections of the American Bar Association and of the Business Law Section of the State Bar of California. Ms. Bertero is a frequent lecturer at programs on capital markets, merger and acquisition and board of director counseling matters. She has served on the firm's Management and Executive Committees and is a member of Gibson, Dunn & Crutcher's Diversity and Hiring Committees.
