Kevin W. Kelley is a partner in the New York office of Gibson, Dunn & Crutcher and a Co-Chair of the Capital Markets Practice Group. He is a member of the firm's Corporate Department and its Corporate Transactions and Securities Practice Group and has been active in Latin American capital markets since the early 1990s.
Mr. Kelley's practice encompasses a broad range of capital markets transactions, particularly those involving non-U.S. issuers engaging in U.S. public or private securities offerings and exchange offers. Mr. Kelley's clients include the major U.S. investment banks as well as corporations, financial institutions and sovereign issuers throughout Latin America, the Caribbean and Europe. He has significant expertise representing issuers and underwriters in global public and 144A offerings of debt and equity securities, compliance with U.S. securities laws and NYSE and NASDAQ listings by foreign issuers, exchange offers, private placements and privatizations. Mr. Kelley was nominated to the International Financial Law Review 2008 as a Leading Lawyer in US Capital Markets- Debt and Equity. In recent years, Mr. Kelley has been particularly active in Brazil and elsewhere in Latin America.
Prior to joining Gibson, Dunn & Crutcher, Mr. Kelley served as the global head of Clifford Chance's U.S. Securities Group.
Mr. Kelley received a Juris Doctor from the University of Pennsylvania, where he was a member of the Law Review. He earned Bachelor of ArtsĀ and Masters degrees, summa cum laude and Phi Beta Kappa, in History. He clerked for the Honorable Thomas G. Gee in the Fifth Judicial Circuit, U.S. Court of Appeals.
Mr. Kelley is admitted to practice in New York. He is proficient in French.
