Our Paris office advises on French legal issues and helps clients become familiar with the business community and ways of doing business in the country. Our lawyers counsel on all aspects of business law, such as corporate transactions (M&A, joint ventures and private equity), restructuring and insolvency, projects and infrastructure, finance, compliance, as well as technology and innovation.  We also have active practices in litigation, labor, tax and real estate.

The office opened in 1967 and was the firm’s first office outside California.  Our dynamic team of approximately 45 lawyers is distinctively positioned to advise clients wishing to do business in France and internationally.  We have over 50 years of experience in Europe, representing international businesses that require a coordinated cross-border response.

Business Restructuring and Reorganization – The Paris Business Restructuring & Reorganization team combines its members’ experience in both restructuring and related transactional matters advising distressed companies, creditors, shareholders, private equity firms, hedge funds and auditors. The team is well-versed in the renegotiation of finance documentation, experienced in acquisition finance, advising lenders, borrowers and sponsors on leveraged buy-outs, build-ups and corporate acquisitions. Client work also includes acting for banks, borrowers and financial advisers regarding investment-grade syndicated facilities and bridge finance facilities, as well as assisting on bespoke matters for companies requiring more complex financings.

We are one of the select few on the French market with an impressive track record handling complex restructurings for listed companies. Led by Jean-Pierre Farges, an acclaimed Band 1 practitioner, the Paris restructuring team works in a fully integrated way delivering seamless executions across the firm’s various practice groups, including M&A, finance, litigation, employment and tax.  Our integrated restructuring team includes other leading practitioners, namely Pierre-Emmanuel Fender and Eric Bouffard handling litigation matters, Bertrand Delaunay and Benoit Fleury for corporate aspects, Amanda Bevan de Bernède for finance, and Nataline Fleury for employment.

Corporate/M&A and Private Equity – Gibson Dunn’s Paris office focuses on all aspects of complex corporate transactions.  Partners Bernard Grinspan, Ariel Harroch, Bertrand Delaunay, Benoit Fleury, Patrick Ledoux and Judith Raoul-Bardy represent multinational clients in both domestic and cross-border public and private transactions, including distressed company acquisitions. We not only provide outstanding legal advice but propose creative solutions to address our clients’ increasingly regulated environments.  We have wide cross-jurisdictional capabilities and work seamlessly with our firm’s other offices and practices to identify and realize clients’ objectives.

Employment Law – Our Paris employment law team advises French and international clients on a wide variety of employment, social security and employee benefits matters. Nataline Fleury’s team works closely with the corporate, restructuring and tax teams on all acquisition and restructuring transactions and with our European offices on cross-border issues. Our technical skills and experience enable us to act both as adviser and litigation counsel in all areas of employment law, with a specific focus on restructuring matters and distressed companies. We advise clients from a wide range of sectors, including catering, distribution, finance, food and beverage, heavy industry, infrastructure, manufacturing, media, packaging, pharmaceuticals, private equity, retail and telecommunications.

Global Finance – Our Paris practitioners, led by partner Amanda Bevan-de Bernède, are experienced in acquisition finance, advising lenders, borrowers and sponsors on leveraged buy-outs, build-ups and corporate acquisitions. Client work also includes acting for banks, borrowers and financial advisers regarding investment-grade syndicated facilities and bridge finance facilities.  We additionally assist on bespoke matters for companies requiring more complex ”special situations” financings.

Projects and Infrastructure – Darko Adamovic’s team works across the spectrum of international infrastructure transactions and advises sponsors (investment funds and corporates), junior or senior lenders, multilateral institutions or host governments on M&A transactions as well as greenfield and brownfield projects in the energy and infrastructure sectors, in a French, European and global context. The team is particularly seasoned on mobility transition (EV charging networks), conventional and renewable energy (hydrogen, biomass and offshore wind farm), as well as telecom and airport/rail deals.

Litigation and Arbitration – Our French litigation department combines private and public law dispute resolution teams, offering in-depth representation to clients facing domestic or cross-border business challenges. Partners Jean-Pierre Farges, Eric Bouffard and Pierre-Emmanuel Fender have a core foundation in complex litigation and arbitration, with extensive experience in product liability and industrial disputes as well as those in the infrastructure, financial and restructuring areas.  Our unique, integrated approach complements our widely acclaimed US and other European disputes practices.

Tax and Real Estate – Jérôme Delaurière’s tax team advises on structuring French and international transactions.  We provide counsel on complex tax controversy matters and have an in-depth tax ruling practice.  Team members have significant experience in French real estate and hotel investment, with particular capabilities in the French equivalent of the real estate investment trust (REIT).  Other real estate-related capabilities include due diligence, leasing, urban planning and tax structuring.

Technology & Innovation – The Paris office offers a wealth of experience in information technology and digital transactions, outsourcing, data privacy and cybersecurity.  Ahmed Baladi‘s and Vera Lukic‘s practice covers a broad range of matters including complex technology transactions and outsourcing projects; strategic digital transformation; compliance and governance projects in light of the EU’s General Data Protection Regulation (GDPR); cross-border litigation requiring data transfer, and the application of Binding Corporate Rules; and complex commercial transactions.
