Merger and Acquisitions Experience. Gibson Dunn is among the country's preeminent law firms in aerospace and defense industry M&A work. Our attorneys advise both purchasers and sellers of government contractors and we frequently assist the business teams to better understand the effect that government regulations will have upon a contemplated transaction. Among the issues we deal with regularly are foreign ownership and control, and related issues such as special security agreements, novation, restructuring, and small business requirements. We also assist the business teams to better understand the effect of the regulations concerning technical data and patent rights on valued intellectual property assets. Finally, we assist in the drafting and negotiation of transaction documents, such as the representations and warranties concerning government contract issues in merger agreements and stock purchase agreements.
Information Technology. We have extensive experience in negotiating and drafting complex information technology agreements. Our attorneys serve as regular outside counsel to leading professional services, systems integrators, software developers and management consulting firms. The Group took a key role in successful reforms of California's IT procurement practices and our attorneys are knowledgeable about IT contracting practices in many other states. We have represented telecommunications companies, financial institutions, manufacturers and many others in a wide array of technology related arrangements.
Construction/Public Works. We have represented contractors, owners/developers, and architects/engineers in all areas of the construction industry. The projects range from office buildings to waste/energy facilities, and from hospitals to nuclear waste remediation sites. We have particular proficiency in dispute avoidance and resolution, and our attorneys have served as mediators and arbitrators in commercial and government-related controversies.
Special Projects. Our attorneys have assisted in corporate, finance, program, and contract matters concerning the deployment of new technologies. We've helped fashion business structures to achieve business objectives, such as by forming LLCs to perform government contracts, and we have aided in developing enterprise, financial and regulatory strategies for technology-driven projects. We have substantial experience in project design and counseling on multi-party enterprises in such ambitious system development efforts such as the development of a reusable commercial space launch vehicle, space shuttle resupply systems, ballistic missile intercept vehicles, surface-to-air missile systems, electronically steerable array radars, and advanced civil aircraft. Our experience in these areas includes in-depth understanding of highly specialized policy environments and regulatory regimes, both civil and military.
