Gibson Dunn maintains a leading Infrastructure Practice Group, with experience across multiple jurisdictions and an in-depth knowledge of the industrial, commercial, financial, risk management and political issues that are inherent in the procurement, development, financing, construction, operation, acquisition and disposition of major domestic and international projects and infrastructure facilities.  The group has been widely recognized among the top project finance and public-private partnership (PPP) practices worldwide, and has particular experience in acquisitions and dispositions of projects and infrastructure assets, in addition to procurement, development and financing of the same.

We represent sponsors and developers, contractors, commercial and investment banks, funds and other institutional investors in connection with all aspects of project procurement, development and financing, and acquisition and dispositions of a variety of infrastructure assets, including:

  • Bid preparation and qualification, including negotiations with public authorities and contractors
  • Contract negotiation and drafting, including concession agreements, leases, construction contracts, operations and maintenance agreements, feedstock supply, transmission and interface agreements
  • Financing arrangements, including capital markets issuances, credit facilities and related political risk insurance

The Infrastructure Practice Group is integrated with the firm’s Global Finance, Capital Markets, Mergers and Acquisitions and Private Equity Practice Groups, representing leading domestic and foreign financial institutions and borrowers/issuers in all types of debt financing and equity transactions, including taxable and tax-exempt debt issuances, private placements, Rule 144A offerings, equity placements, leveraged financing and nonrecourse term debt, mergers, acquisitions, divestitures, spin-offs, proxy contests and joint ventures. The group also draws on the skills and proficiency of Gibson Dunn’s other first-tier practices, including the Energy, Power and Renewables, Environmental, Social and Governance (ESG), Land Use and Development, Business Restructuring and Reorganization, Tax, Latin America, Litigation and International Arbitration Practices.  Our firm also has extensive experience in U.S. federal and state regulatory matters of all types pertinent to project and infrastructure assets.  Notably, the definition of “infrastructure” has broadened in the last decade and our teams have kept abreast of such trend and are best positioned to tackle the challenges that our clients face and leverage the opportunities that arise from such developments in the infrastructure sector globally and its new regulatory framework.
