Based in NY, you will be a Finance Paralegal providing support to our attorneys with a wide variety of tasks and projects. Gibson Dunn’s Global Finance Practice Group includes more than 85 lawyers located throughout our global offices, serving clients around the world including private equity sponsors, corporate borrowers, major financial institutions and hedge funds.

The role reports to the Manager of Paralegal Services.

Responsibilities include:

  • Performing various day-to-day administrative tasks.
  • Preparing and drafting credit agreements, security agreements, collateral descriptions and disclosure schedules.
  • Preparing UCC security filings.
  • Updating closing checklists and coordinate closing procedures.  Coordinate with local counsel in a variety of jurisdictions to ensure necessary conditions precedent are prepared in advance of closing.
  • Drafting shareholder and board consents.
  • Drafting and filing amendment certificates for corporation or Limited Liability Companies.
  • Developing and conducting research related to transactions and filings.
  • Ordering good standing certifications and certified charters.
  • Drafting organizational, incorporation, and formation documents such as Articles of Organization, Operating Agreement, Consents, qualification documents.
  • Conducting name availability and reserve entity name if required.
  • Coordinating execution of consent forms for using service companies as Registered Agent.
  • Interacting and coordinating with various service companies.
  • Preparing, obtaining, and organizing required closing certificates and related documents for pre-closing.
  • Assembling fully executed closing documents with related exhibits, schedules, and attachments.
  • Other tasks and responsibilities as assigned.

Qualifications

  • Superior analytical and reasoning abilities.
  • Must possess strong written and verbal communication skills.
  • Ability to work independently and as part of a team, with members across multiple offices.
  • Excellent organizational skills and a strong attention to detail.
  • Proactive and able to handle multiple projects and client matters simultaneously.
  • Willingness to work paid overtime as needed.

Experience

  • Minimum of 2 year of relevant experience required; 4+ years of relevant experience preferred.
  • Proficient with Microsoft Word and Excel.

Compensation & Benefits:
The annual compensation range for this position is $70-100k. The salary offered within this range will depend upon qualifications and other operational considerations.
