Nicolas H.R. Dumont is of counsel in the New York office of Gibson, Dunn & Crutcher LLP. He is a member of the Firm’s Capital Markets, Financial Institutions and Securities Regulation and Corporate Governance Practice Groups.
Mr. Dumont’s practice focuses principally on representing corporate and investment banking clients in public and private corporate finance transactions.
His experience encompasses senior, subordinated and convertible debt offerings, including non-dollar denominated debt; common and preferred stock issuances; initial public offerings, at-the-market offerings, private placements and rights offerings; securities issued by banks; hybrid and derivative instruments; PIPE offerings; tender offers and exchange offers. He has represented US and foreign issuers and underwriters in a range of industries and sectors including insurance, banking, shipping, consumer products, REITSs and real estate, energy, and healthcare. Further, Mr. Dumont has significant corporate and securities experience in connection with corporate restructuring matters, including the representation of creditors and hedge funds. Mr. Dumont also advises clients on securities law issues related to digital currencies and blockchain technology, including initial coin offerings.
In addition to transactional assignments, he regularly advises clients on general corporate matters; corporate governance and public company reporting; FINRA regulation and compliance; and stock exchange rules.
While at Gibson Dunn, Mr. Dumont has worked on matters on behalf of Berkshire Hathaway Energy Company, Capital One Financial Corporation and subsidiary banks, Colfax, Coty, General Electric, FBR Capital Markets, Heineken, Hewlett Packard Enterprise, Horace Mann, Lazard, Marriott Vacations Worldwide, MidAmerican Energy, Rockpoint Group, Tenet Healthcare and UBS Securities LLC.
Mr. Dumont received his Juris Doctor in 2006 from Stanford Law School and his A.B. degree in 2002 from Princeton University, summa cum laude, where he was elected to Phi Beta Kappa. He also holds a diplôme from L’Institut d’Études Politiques de Paris, Sciences-Po.
Prior to joining Gibson Dunn, Mr. Dumont practiced in the New York and Paris offices of another major international law firm. He is admitted to practice in New York.
