BIOGRAPHY

Caitlyn Fiebrich is an associate in the Houston office of Gibson, Dunn, & Crutcher. She currently practices across the firm’s Corporate group, focusing on Capital Markets and Securities Regulation and Corporate Governance.  Ms. Fiebrich maintains an active pro bono practice, representing clients in matters of LGBTQ+ asylum petitions.

Ms. Fiebrich’s representative experience includes:

  • Securities and governance counsel to Aris Water Solutions (NYSE: ARIS).
  • LyondellBasell Industries $1.0 billion tender offering of senior and guaranteed notes.
  • Berkshire Hathaway Energy Company $1 billion Rule 144A/Regulation S offering of senior notes.
  • Underwriters for Global Payments Inc. – $2.5 billion offering of senior notes; $2 billion offering of senior notes.
  • EnerVest, Ltd., as selling shareholder in a block trade of approximately 7.5 million shares of Magnolia Oil & Gas Corporation underwritten by JPMorgan Securities.
  • Conflicts Committee of the general partner of Shell Midstream Partners, L.P. in its take-private acquisition by Shell USA Inc.
  • Conflicts Committee of the general partner of Rattler Midstream LP in its take-private acquisition by Diamondback Energy, Inc.
  • Houlihan Lokey Capital as financial advisor to Falcon Minerals Corporation in its all-stock merger with Desert Peak Minerals.

Ms. Fiebrich received her J.D., magna cum laude, from the University of Houston Law Center in 2021, where she served as Senior Notes and Comments Editor of the Houston Law Review and Teaching Assistant to Professor Zachary Kaufman. Prior to law school, Ms. Fiebrich graduated with honors from The University of Texas at Austin.
