Cassandra Tillinghast is of counsel in the Washington, D.C. office of Gibson, Dunn & Crutcher. She is a member of the firm’s Securities Regulation and Corporate Governance practice group.
Ms. Tillinghast advises clients on an array of complex corporate issues. She has experience advising public companies and their boards of directors on corporate governance matters and securities law disclosure issues, including those relating to director independence and committee qualifications, related party transactions, fiduciary duties and conflicts of interest, and board and committee self-assessments. She also has experience advising companies across the energy, pharmaceutical, and other industries in mergers and acquisitions, both friendly and hostile, as well as other non-M&A corporate transactions.
Prior to joining Gibson Dunn, Ms. Tillinghast served as Director, Associate General Counsel in the Corporate Governance Office at a major financial institution. She also previously served as Director of Consulting at a boutique management consulting firm where she advised clients on joint venture transactions and governance matters, and at a large international law firm where she advised clients on mergers and acquisitions in addition to securities and governance issues.
Ms. Tillinghast graduated cum laude from American University, Washington College of Law in 2007, where she was a member of the International Law Society and the Administrative Law Review. She also earned a Master’s in Business Administration from the American University, Kogod School of Business.
