Partner Ronald Mueller was interviewed by The Deal (subscription required) about the potential impact of the speech given recently by SEC Chairman Paul Atkins, in which Chairman Atkins stated that the agency would be receptive to receiving a no-action request arguing that a precatory shareholder proposal is not a valid proposal under Delaware law.

“If state law restricts or eliminates precatory proposals, then many of the concerns over abuse of Rule 14a-8 would be moot, and the need for or nature of any regulatory reforms to Rule 14a-8 would dramatically change,” Ron noted.
