Benyamin S. Ross is an associate in the Los Angeles office of Gibson, Dunn & Crutcher, and a member of the Corporate Transactions, Outsourcing, and Media, Entertainment, and Technology Practice Groups.  Mr. Ross’s practice encompasses a broad range of technology transactions, including business process and IT outsourcing, technology licensing and development agreements, and mergers and acquisitions and joint ventures involving technology, telecommunications, and new media companies.

Corporate Transactions

• Represented a Fortune 50 company in its complex, $12.7 billion joint bid with a cable operator to acquire the assets of bankrupt cable operator.
• Represented a private equity fund in its acquisition of an online marketing firm.
• Represented a semiconductor company in its carve out asset acquisition of the consumer products group of a Fortune 500 company.
• Represented a health device company in the $1 billion unwinding of its merger with a Fortune 500 company.
• Represented a global entertainment and music recording company in the negotiation of various investments and joint ventures.

Outsourcing and Technology

• Represented a global entertainment company in negotiating the outsourcing of its finance and accounting, IT infrastructure, applications development and maintenance, and service desk operations in North America, Europe and Asia, to a single service provider.
• Represented a finance services company in outsourcing its service desk, infrastructure, and applications development and maintenance operations to multiple international service providers.
• Represented a global entertainment company in negotiating the outsourcing of its managed network services in North America and Europe.
• Negotiated intellectual property and information technology provisions of documents in multiple transactions, including acquisitions of swimming products distributor, insurance software provider, gaming software company, and insurance provider.
• Represented numerous clients in negotiating license agreements, e-commerce, web development and related agreements, including for a publicly traded manager of hedge funds, a health product retailer, an online directory, and an online magazine.

Prior to joining Gibson, Dunn & Crutcher, Mr. Ross was associated with the firm Paul, Weiss, Rifkind, Wharton & Garrison LLP in New York City and clerked for Chancellor William B. Chandler III, of the Delaware Court of Chancery.  Mr. Ross received his law degree from New York University School of Law in 2004, where he was a staff editor on the Annual Survey of American Law and a recipient of the Vanderbilt Medal and the President's Service Award for achievements and public service.  He received his Bachelor of Arts degree in Philosophy from Princeton University, graduating magna cum laude.
