Job Summary
Role Overview
An exciting opportunity to join our growing Corporate Real Estate practice in the London office. We are looking to hire two associates: one at the NQ–1 PQE level and one at the 4–6 PQE level.
The work is real estate private equity and corporate real estate M&A, acting for financial sponsors, institutional investors, asset managers, developers and operators on public and private M&A, joint ventures, platform transactions and recapitalisations across UK, European and other cross-border deals.
This role is aimed at ambitious associates looking to build their career within a market-leading platform at the forefront of the most significant real estate transactions in the market, across all major asset classes and for some of the world’s most prestigious clients.
Gibson Dunn’s London real estate platform is growing, with the recent arrivals of Chris Slack, Angus Lennox, James Johnson and Victoria Delacey further strengthening the firm’s capabilities. The London team continues to expand across both equity and debt, and forms part of Gibson Dunn’s wider global Real Estate Practice Group.
This is an opportunity to join a growing platform in London at an exciting stage as part of a marquee global real estate practice, with exposure to market-leading clients and the most significant transactions in the sector.
The Work
The successful candidates can expect to work on matters including:
- Private M&A, including acquisitions and disposals of property-rich companies, real estate-backed operating businesses, portfolios and single assets, and corporate carve-outs
- Public M&A, including take-privates and other public-to-private transactions involving listed real estate companies and REITs
- Joint ventures, club deals, co-investments and programmatic ventures with sponsors, investors, developers, operators and asset managers
- Platform transactions, including platform acquisitions and build-outs, and asset management / manager M&A
- Recapitalisations, restructurings and exits involving real estate vehicles, platforms and portfolios
- The corporate structuring that sits behind real estate investment, working alongside our real estate, tax, finance and investment funds colleagues in London and across the firm’s international offices
At the NQ-1PQE level, there will also be the oppertunity to work on corporate and private equity transactions outside the real estate sector. Our London transactional practices work closely together, and we actively encourage junior associates to build a broad corporate grounding alongside their real estate work.
Role Requirements & Candidate Profile
At NQ–1 PQE, we are looking for a corporate lawyer with seat or early transactional experience in corporate/M&A, private equity or real estate, and a genuine and considered interest in building a corporate practice in the real estate sector.
At 4–6 PQE, we are looking for a corporate lawyer with substantive transactional experience in the real estate sector, able to run deals day to day and to supervise more junior team members.
Both candidates will:
- Ideally be England & Wales qualified, although strong candidates from other common law jurisdictions will be considered
- Have trained and qualified at a leading international or top-tier commercial law firm
- Have experience of, or exposure to, drafting and negotiating sale and purchase agreements, joint venture and shareholders’ agreements and associated documentation
- Have experience of, or exposure to, corporate due diligence on property-rich companies, portfolios and platforms
- Demonstrate strong academic credentials, strong technical legal skills, commercial judgement and attention to detail
- Be proactive, collaborative and confident working directly with partners, clients and colleagues across practice areas
- Communicate clearly and effectively with clients, counterparties and internal teams
We are open to considering candidates who currently sit in a corporate, private equity, private equity real estate or corporate real estate team, provided they can demonstrate the relevant transactional experience described above.
