Maricel P. Montano

Of Counsel

Maricel P. Montano is Of Counsel in the Orange County office of Gibson, Dunn & Crutcher and is a member of the firm’s Mergers and Acquisitions, Capital Markets, Emerging Companies and Securities Regulation and Corporate Governance Practice Groups.

She advises public and private companies on merger transactions, stock and asset sales and investments in a wide variety of industries, including technology, life sciences, hospitality, media and consumer/retail. Maricel also represents issuers and underwriters in connection with registered and privately placed equity and debt offerings. She also advises public and private companies with respect to corporate law matters.

In 2014 and 2016 through 2020, Maricel was named a Southern California Rising Star by Super Lawyers Magazine. Most recently, she was recognized as a Best Lawyers: Ones to Watch in America™ in Corporate Governance and Compliance Law, Mergers and Acquisitions Law, Securities/Capital Markets Law and Securities Regulation.

Maricel is currently a member of the firm’s Diversity Committee and she was previously a member of the firm’s Associates Committee.

  • Represented a European manufacturer of medical devices in acquisitions of operating companies and investments in the U.S.
  • Represented a U.S. medical technology company in a series of investments in the U.S.
  • MGM Resorts International – acquisition of Empire City Casino and Racetrack in New York for $850 million
  • MGM Resorts International – acquisition of the Hard Rock Rocksino in Ohio for $1.06 billion
  • Encore Group – sales of private companies
  • Matson, Inc. – acquisition of Span Intermediate, LLC
  • Riverbed Technology, Inc. – acquisition of a private company and sale of a business unit
  • Vivendi SA – sale and redemption of its majority stake in Activision Blizzard
  • Aurora Capital Group – sale of ADCO Global, Inc.

Education

Maricel earned her Juris Doctor in 2010 from the University of Southern California, where she was a Senior Editor of the Southern California Law Review and a Teaching Fellow for the Legal Writing and Advocacy Program. She graduated from the University of California, Berkeley in 2005 with a B.A. in Economics, with high honors.

She is currently admitted to practice law in the State of California.
