Our London office has always been at the forefront of cross-border mergers and acquisitions, financing and joint venture transactions, including acting for clients seeking to access the US and European capital markets. Our lawyers offer English law capabilities in all aspects of private and public mergers and acquisitions and have extensive experience in the City Code governing public takeovers in the UK and the European Takeovers Directive. One of our partners was seconded for two years to the Panel on Takeovers and Mergers, the key regulatory body governing public company acquisitions in the UK.
Our private equity work covers every type of investment and divestment activity, including early and later stage venture capital investments; MBOs, MBIs, IBOs and LBOs; re-engineered buy-outs; public to privates; and exits by sale to trade/financial buyers; equity and debt financings; rights offerings and IPOs in the UK, elsewhere in Europe and in the US. We also advise on the establishment of private equity and venture capital funds, including funds established in offshore jurisdictions.
The global commercial dispute resolution group has more than 400 professionals, and the London team is a rapidly expanding part of that practice.
The UK dispute resolution practice covers commercial litigation, international arbitration, regulatory investigations and proceedings, mediation, internal corporate investigations, antitrust disputes, public law cases, government inquiries and cases before international courts, working closely with our pre-eminent US Litigation Group and with colleagues in Brussels, Munich, the Middle East and Asia on a range of major cross-border disputes. We are renowned for defending corporations in regulatory investigations as well as conducting sensitive internal investigations across a wide spectrum of industries, with particular capabilities in the fields of financial institutions, insurance and reinsurance and accountancy. Finance/Real Estate, Acquisition and Project Finance
Our London office focuses on acquisition finance, securitisation, real estate, senior and mezzanine debt, refinancings and restructurings, loan notes, funds and Shari'ah-compliant financings. Much of our work in this area is cross-border, and we have particular strengths in complex financing transactions involving a variety of European jurisdictions. We also have considerable experience in relation to Islamic and Shari'ah-compliant transactions having completed the first Shari'ah compliant LBO in continental Europe. Our finance and real estate groups regularly work together on complex, high-end real estate private equity transactions.
Business Restructuring and Reorganisation
Our London restructuring team regularly advises private equity sponsors, portfolio companies, corporate groups and creditors on all aspects of restructuring, insolvency and financial distress. Our London team has wide cross-jurisdictional expertise and works seamlessly and creatively with our other offices to identify and realise our clients' objectives. The London team has particular expertise advising borrowers and creditors in restructuring transactions involving highly complex multi-tiered capital structures, both in the context of LBO transactions (complementing our strong acquisition finance practice), and in the CMBS market, in which we have market-leading expertise. We also advise purchasers in high-profile distressed mergers and acquisitions and real-estate transactions, including transactions in which businesses and assets are acquired out of formal insolvency proceedings, including English administration and under Chapter 11 in the US. In addition, we have been actively involved in recent major international restructuring cases involving the EC Regulation on Insolvency Proceedings and the UNCITRAL Model Law. Real Estate Private Equity
Gibson Dunn is the law firm of choice for executing complex, high-end real estate private equity transactions. Our real estate team specialises in all aspects of commercial real estate, including corporate and investment property acquisitions and disposals, financing, development, leasing and joint ventures. As the credit crunch has taken hold, we have seen more activity and focus on restructurings, recapitalisations, loan portfolio acquisitions and distressed trading.
