Hadeel Tayeb

Associate Attorney

Hadeel Tayeb is an associate in the Riyadh office of Gibson Dunn. Hadeel’s practice focuses on corporate law, regulatory and dispute resolution. She regularly advises clients on various matters relating to government initiatives and projects.

Prior to joining Gibson Dunn, Hadeel was an associate based in the Jeddah office of an international law firm. She completed her law degree at Dar Alhekma University in 2018 before completing her master’s degree at Cambridge University in 2020. Hadeel is admitted to practice law in Saudi Arabia. She is a native Arabic speaker and is also fluent in English.

Representative Experience*

  • Incorporated over 18 foreign entities in the kingdom including Regional Headquarters under the RHQ scheme.
  • Planned the restructuring of entities and executed the mergers or acquisitions which involves drafting term sheets, JVAs, SPAs, restated AoAs, PoAs, etc. It also includes the execution of the transfer of properties before the Ministry of Justice, and conducting a due diligence exercise.
  • Drafted legal memorandums in relation to the incorporation of foreign entities in the forms of branches, limited liability companies, joint stock companies and regional headquarters.
  • The conversion of a branch into a limited liability company to form a joint venture.
  • Advised on the establishment of a duty free outlet at KAIA airport with a detailed advice on the obtainment of necessary secondary permits from the relevant government authorities for each envisioned product to be sold.
  • Drafted and reviewed franchise agreements and disclosure documents, employment, and lease agreements, commercial agency agreements, and trademark licensing agreements followed by filing them before the relevant government authorities.
  • Advised on a range of commercial matters including employment matters, leases, and general corporate commercial issues for a cinema chain.
  • Advised multiple clients on the regulatory structures and incentives for potential special economic zones and for strategic engagement plans with the regulators.
  • Handled multiple assessments and filings before the General Authority for Competition (economic concentration and no-notification requests).
  • The amendment of bylaws of joint stock companies, and the drafting of the extraordinary general assembly minutes and executing the same before the relevant government authority.
