A team led by Gibson, Dunn & Crutcher partner Christopher Belelieu and associate Chase Weidner and Ross Aronstam & Moritz partner S. Michael Sirkin secured the rare remedy of a return of equity in-full to client Samvit Ramadurgam in a Delaware Chancery suit involving Destiny XYZ Inc., a company he co-founded to provide public market access to private technology companies. Last week, Vice Chancellor Paul Fioravanti Jr. held that Ramadurgam’s cofounder, Sohail Prasad, “appointed two friends to the board and rammed through a reverse-forward stock split at a special meeting at which the controller and his devoted loyalists did not even attempt to justify their faithless conduct.” On top of the return of equity, Fioravanti held that Prasad’s “egregious pre-litigation conduct” warranted an award of attorney fees to Ramadurgam. The team included Gibson Dunn associates Amir Heidari and Max Day and Ross Aronstam partner R. Garrett Rice.
