In their Expert Voices article for The Texas Lawbook, Gibson Dunn partners Hillary H. Holmes and Gerry Spedale highlight the key points that companies incorporated or operating in Texas — or considering redomestication to Texas — need to know about recent changes to the Texas Business Organizations Code (TBOC), which positions Texas as an increasingly attractive option for the state of incorporation.
“For general counsels, officers and directors of Texas corporations and those considering redomestication to Texas,” they note, “these reforms offer significant new protections and opportunities — but also raise new compliance considerations. The use of the TBOC as the framework for corporate governance provides a level of certainty. But the landscape will continue to evolve, and it will be critical to monitor it closely.”
