General Electric Corporate Counsel Lori Zyskowski Joins Gibson Dunn in New York

Gibson, Dunn & Crutcher LLP is pleased to announce that Lori Zyskowski, Executive Counsel, Corporate, Securities & Finance at General Electric Company, will join the New York office as a partner.  She will be joining the firm on January 5, 2015 and will focus on securities regulation, corporate governance and regulatory compliance matters.

About Lori Zyskowski

Zyskowski has 18 years of experience as a corporate securities and governance lawyer, with a focus on SEC compliance and disclosure issues, corporate governance best practices, state corporate laws, the Sarbanes-Oxley Act of 2002, the Dodd-Frank Act of 2010 and SEC regulations.   

Prior to joining the firm, she was an in-house corporate lawyer at General Electric since 2009.  In her most recent role as Executive Counsel, Corporate, Securities & Finance, Zyskowski advised GE’s board of directors and senior management on corporate governance and securities law issues.  She was responsible for outreach to institutional investors on governance and executive compensation issues and overseeing the company’s review and response to shareholder proposals.  She oversaw the company’s periodic reporting, registered offerings, proxy statement and other SEC and NYSE filings.  Zyskowski also advised on mergers, acquisitions, dispositions and financial services regulatory matters.

Before that, Zyskowski was Corporate and Securities Counsel and Assistant Secretary at Pitney Bowes from 2006 to 2009.  In that capacity, she served as the Secretary of the Audit Committee and Counsel to the Executive Compensation Committee of the Pitney Bowes’ board of directors.  She was responsible for managing the securities governance department, which oversaw director and officer ownership reporting and subsidiary management.

From 2002 to 2005, she served as the Assistant General Counsel, Securities at MeadWestvaco.  Following the adoption of the Sarbanes-Oxley Act, she was responsible for designing and implementing the new corporate governance processes under the NYSE corporate governance listing standards for MeadWestvaco.

Zyskowski is a frequent speaker on governance, proxy and securities disclosure panels and is very active in the corporate governance community.  She is a member of the Society of Corporate Secretaries and Governance Professionals and was elected to a four-year term on the board of directors of the Society in July 2013 after serving as Secretary to the board from 2011 to 2013. 

She graduated from Columbia University School of Law in 1996 and was a Harlan Fiske Stone Scholar.
