Gibson Dunn Represented SCIH Salt Holdings in $1.6 Billion Notes Offering, $3.2 Billion Term Loan B Facility, and $550 Million Revolving Credit Facility

Gibson Dunn represented SCIH Salt Holdings Inc., the largest producer of salt in the Americas and the parent of the Morton Salt, Windsor Salt, and LOBOS businesses, in a Rule 144A and Regulation S offering of $1.1 billion in aggregate principal amount of 6.625% Senior First Lien Notes due 2031 and $500 million in aggregate principal amount of 8.000% Senior Notes due 2032. The offering priced on July 30, 2026 and closed on August 13, 2026.

Gibson Dunn also represented SCIH Salt Holdings Inc. in connection with an amendment and restatement of its existing First Lien Credit Agreement, which, among other changes, refinances and replaces the existing $1.97 billion term loan facility with a new five-year $3.2 billion senior secured term loan B facility and refinances and replaces the existing revolving credit facility with a new five-year senior secured revolving credit facility with commitments of $550 million. The amendment and restatement closed concurrently with the notes offering.
