Gibson Dunn Advised ORIX Aviation on Acquisition of AerFin

Gibson Dunn advised ORIX Aviation on its agreement to acquire AerFin, a U.K.-based aviation engines, parts, and repairs aftermarket business, from CataCap and AerFin’s other shareholders. The transaction is expected to be completed by the end of 2026.
ORIX Aviation, established in 1991 and part of ORIX Group, owns and manages aircraft and provides asset management services to Japanese and international investors and funds through its full-service operating lease platform. The acquisition takes ORIX Aviation into the aviation aftermarket for the first time, adding used serviceable material and airframe and engine parts capabilities to its leasing and asset management business.
Gibson Dunn acted as sole legal adviser to ORIX Aviation, advising on all aspects of the transaction, including corporate and aviation asset matters, antitrust and merger control, sanctions and export controls, employment, executive compensation, commercial and technology contracts, and litigation risk.
