Overview

The Global Finance Practice Group serves clients around the world including private equity sponsors, corporate borrowers, major financial institutions and hedge funds. 

The Global Finance group includes more than 85 lawyers located throughout our offices worldwide.  The broad array of financing transactions on which we advise includes: 

  • Secured credit facilities, including acquisition financings, asset-based loans and second-lien facilities
  • High-yield debt and bridge facilities that backstop high-yield debt issuances
  • Mezzanine debt and other private note placements to financial investors
  • Unsecured credit facilities and bonds for investment-grade companies
  • Convertible bonds
  • Structured financings and securitizations
  • Project and infrastructure financings
  • Workouts and restructurings, debtor-in-possession and bankruptcy exit financings
  • Enforcement of senior and mezzanine loans
  • Hedging and other derivative transactions

The Global Finance group works closely with our mergers and acquisitions colleagues on acquisition financings and with our capital markets experts on registered and Rule 144A debt issuances.  We also draw extensively on the knowledge and skills of our other specialist practice areas such as environmental, tax, employee benefits and the U.S. Employee Retirement Income Security Act (ERISA), government contracts and litigation. 

The Global Finance group is well-positioned to know what is "market" with respect to commitment packages, covenants, intercreditor terms, collateral arrangements and other financing terms.  We use this knowledge to negotiate documentation efficiently on behalf of our clients to address their needs and goals. 

We consistently rank among the industry leaders in leveraged finance transactions, including high-yield debt, with the Global Finance group and individual partners recognized by Chambers and other industry publications and organizations.

Recent representations include:  

  • MetroPCS in a $3.5 billion senior note issuance in connection with its combination with T-Mobile USA.
  • UBS Investment Bank in $700 million first-lien credit facilities for Excelitas Technologies, Inc., financing the acquisition of Qioptiq.
  • Tenet Healthcare in a $2.8 billion senior unsecured note issuance and a $1.8 billion senior secured note issuance to finance Tenet's acquisition of Vanguard Health Systems.
  • The ADT Corporation in a $2.25 billion 364-day senior unsecured bridge loan facility, a $750 million senior unsecured revolving credit facility and a $2.5 billion senior note issuance in connection with ADT's spin-off from Tyco International Ltd. 
  • Williams Partners LP and The Williams Companies, Inc. in a $2.5 billion senior unsecured revolving credit facility and a $1.5 billion senior unsecured revolving credit facility, respectively.
  • Wolverine World Wide, Inc. in $1.1 billion senior secured credit facilities and a $375 million senior unsecured note issuance to finance its acquisition of Collective Brands, Inc.'s Performance + Lifestyle Group.
  • AlixPartners, LLP in $1 billion first- and second-lien secured credit facilities.
  • Thayer Street Partners in structured, future-flow insurance commission receivables financing for Consumer United.
  • The Sports Authority, Inc.in a $650 million asset-based credit facility.
  • Secured acquisition credit facilities, asset-based credit facilities and credit facility refinancings ranging from $25 million to multiple billions of dollars for portfolio companies of private equity sponsors Investcorp, Aurora Capital, CVC Capital Partners, J.H. Whitney, Brazos Equity Partners, Catterton Partners and others.
