Overview

Gibson, Dunn & Crutcher's Energy and Infrastructure Practice Group advises clients in every stage of the development, construction, financing, acquisition, ownership and operation of energy and infrastructure projects and in connection with a wide variety of M&A, financing, investment, joint venture and other transactions involving energy and infrastructure companies of all types. 

For more than 30 years, the group has represented acquirors and sellers, investors (including private equity, pension and other funds), sponsors, developers, lenders and other financing sources (including governmental, bilateral and other agencies), investment banks, advisors and other participants, in connection with a wide variety of complex transactions involving power generation, transmission and distribution, oil and gas (including exploration and production (E&P), pipelines, storage and export/import facilities), toll roads, petrochemical facilities and other energy and infrastructure projects and businesses.  Our group has substantial practical experience, knowledge and capabilities in all aspects and phases of: 

  • Utility, power, pipeline and other oil and gas M&A, investment, joint venture and financing transactions, including master limited partnership (MLP), YieldCo, tax equity, hedging and other complex transactions
  • Conventional power projects, including natural gas, combined cycle, coal, oil and nuclear facilities
  • Renewable power projects, including solar, wind, geothermal, biomass and hydroelectric
  • Electric energy transmission, interconnection and distribution
  • Toll roads, water facilities, ports, airports, bridges, tunnels and other infrastructure projects
  • Oil and gas (upstream, midstream and downstream), including E&P projects, pipelines, storage facilities, liquid natural gas (LNG) and other import/export facilities
  • Power marketing, trading and hedging

  • Petrochemical facilities, including fertilizer, polyethelene and LNG  

As needed, the Energy and Infrastructure group also draws seamlessly on the skills and proficiency of Gibson Dunn's other first-tier practices, including our Energy, Regulation and Litigation, Capital Markets, Securities, Mergers and Acquisitions, Environmental, Business Restructuring and Tax groups.  Our Energy, Regulation and Litigation group includes the former general counsel of the Federal Energy Regulatory Commission (FERC) and has deep experience in connection with FERC and other U.S. federal and state regulatory matters of all types, including FERC regulations and filings, regional transmission organizations (RTOs), energy markets and trading, rate cases, interconnection and transmission matters and contested regulatory proceedings.

In just the past three years, our Energy and Infrastructure group has represented the acquirers and issuers in connection with dozens of the world's most high-profile M&A, project and financing transactions in the energy space, including four "Deal of the Year" project acquisitions and capital markets transactions.  The group has substantial recent experience in the United States, Asia, Latin America, the Middle East, Europe and Africa and it takes pride in the firm's seamless coordination across all relevant geographical and practice group areas.
